Welcome to Fractional Coordinator, Inc., a platform and service operated by Fractional Coordinator, Inc., a Delaware corporation (“Fractional Coordinator,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, software, products, and services (collectively, the “Services”). By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use our Services.
1. Overview of Services
Fractional Coordinator, Inc. provides organizations, educational institutions, and individual professionals with on-demand compliance, investigative, training, accessibility, and equity infrastructure services. These include civil rights and Title IX, Title VI, and Title VII investigations; ADA/504, Clery Act, and digital accessibility compliance support; policy development, advisory services, and strategic consulting; live and virtual workshops, certification trainings, and capacity-building programs; and access to a secure client portal, resource library, and collaborative workspaces. Some Services are offered through subscription plans or retainers, while others are project-based or delivered through consulting agreements.
2. Eligibility and Authorized Use
You must be at least 18 years old and legally capable of entering into a binding agreement to use our Services. By accessing or using the Services, you represent that you are authorized to act on behalf of the organization you represent, that the information you provide is accurate and current, and that your use of the Services complies with all applicable laws and regulations, including data privacy and civil rights laws. If you access the Services on behalf of an institution, organization, or employer, you affirm that you have the legal authority to bind that entity to these Terms, that all actions under your account are authorized, and that you will ensure all users you grant access comply with these Terms. Unauthorized sharing, sublicensing, or resale of our Services is prohibited.
3. Account Registration and Security
Certain features may require registration. You agree to provide accurate and complete information during registration, maintain the confidentiality of your credentials, and promptly notify us of any unauthorized access or misuse. You are responsible for all activities occurring under your account, whether authorized or not.
4. Use of Services
You agree to use the Services lawfully and in accordance with these Terms. You may not copy, distribute, or modify our materials without consent; attempt to access data or systems without authorization; use the Services to harass or discriminate; or attempt to reverse engineer or decompile our software. We reserve the right to suspend or terminate your access if we determine that you have violated these Terms or engaged in unlawful or harmful activity.
5. Payment, Subscriptions, and Billing
Certain Services require payment under a subscription plan, project agreement, or hourly engagement. Subscription plans automatically renew unless canceled before renewal. All fees must be paid on time as stated in your agreement. Late payments may result in suspension or termination of access, and all payments are non-refundable unless required by law or expressly stated. You are responsible for any applicable taxes associated with your use of the Services.
6. Confidentiality, Data Security, and Privacy
Both parties agree to maintain the confidentiality of all non-public information exchanged during the engagement. We implement administrative, technical, and physical safeguards to protect your data under applicable laws, including FERPA, HIPAA, GDPR, and CCPA. If our Services involve education records or sensitive data, you designate us as a “school official” or authorized processor solely for the purpose of fulfilling contractual obligations.
7. Intellectual Property Rights
All software, content, trademarks, and proprietary materials associated with the Services are the exclusive property of Fractional Coordinator, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your organization’s internal use. You may not reproduce, distribute, create derivative works, or remove any proprietary notices without written consent.
8. No Legal Advice – Important Disclaimer
Fractional Coordinator, Inc. is not a law firm and does not provide legal advice. All Services and materials are for informational and educational purposes only and do not constitute legal counsel. Use of the Services does not create an attorney-client relationship. You should consult qualified legal counsel for specific legal guidance.
9. Limitation of Liability
To the fullest extent permitted by law, Fractional Coordinator, Inc. shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, revenue, data, or goodwill arising from your use of the Services. Our total liability for any claim shall not exceed the total fees paid by you in the twelve months preceding the claim. We do not warrant that the Services will be error-free, uninterrupted, or meet your specific requirements.
10. Indemnification
You agree to indemnify and hold harmless Fractional Coordinator, Inc., its officers, directors, employees, and affiliates from any claims, damages, or expenses, including reasonable attorney fees, arising from your use or misuse of the Services, your violation of these Terms, or any breach of intellectual property or third-party rights caused by your actions.
11. Termination and Suspension
We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to meet payment obligations, or if required by law. Upon termination, your right to use the Services ceases immediately, and all licenses granted to you are revoked. Termination does not relieve you of payment obligations incurred before termination.
12. Binding Arbitration and Dispute Resolution
Any dispute arising out of these Terms shall be resolved by binding arbitration under JAMS rules in Delaware, USA, before a single arbitrator. Both parties waive the right to a jury trial or class action. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
13. Export Controls and Compliance
You agree not to use or export the Services in violation of U.S. export laws or applicable international regulations. You also agree to comply with all sanctions, anti-bribery, and anti-corruption laws.
14. Modifications to These Terms
We may update or revise these Terms at any time. Updates take effect upon posting with a new Effective Date. Continued use of the Services after updates constitutes your acceptance of the revised Terms.
